Mainland vs Free Zone: Which Is Right for Your Business?

If you’re setting up a company in the UAE, one of the first — and most important — decisions you’ll make is choosing between a Mainland license and a Free Zone license. Both paths lead to a fully legal, 100% foreign-owned business, but they differ in cost, market access and day-to-day flexibility. Here’s how to think about the choice.

What’s the Difference?

Mainland companies are registered directly with the UAE Department of Economic Development (DED) in the emirate where they operate. They can trade freely anywhere in the UAE, take on government contracts and open branches across multiple emirates without restriction.

Free Zone companies are registered within one of the UAE’s 40+ designated free zones (such as IFZA, Meydan, SPC, RAKEZ, or Shams). They benefit from streamlined setup, zero import/export duties within the zone and — in most cases — full customs exemption. The trade-off is that operating directly in the UAE mainland market typically requires a local distributor or a mainland branch.

Ownership

Historically, mainland companies required a UAE national to hold a share of the business. That requirement has been removed for most business activities — both mainland and free zone companies now allow 100% foreign ownership in the vast majority of sectors.

Cost and Setup Time

Free zones are generally faster and more affordable to set up, with packages often including your license, visa allocation and a registered office in one bundle. Mainland setup can involve more documentation and slightly longer processing, but pricing has become far more competitive in recent years.

If most of your revenue comes from outside the UAE — think e-commerce, consulting, or remote services — a free zone is almost always the faster, more cost-effective choice.
